These terms and conditions create a contract between you and Wepin, Inc. (“Agreement”, “Terms”, “License”). Please read this Agreement carefully. This Agreement, together with the Privacy Policy, governs your use of the Services.
01Introduction
Thank you for choosing Wepin. By using, accessing, purchasing, or otherwise interacting with Wepin or any related website, subdomain, or service operated by Wepin, Inc., you agree to be bound by this Agreement and any future revisions to it.
This Agreement, together with the Privacy Policy, governs your use of the Services.
You must be at least 18 years old to use the Services. If you are using the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf. You may not share your login details or account with anyone outside your organization, and you are responsible for all activities that occur using your login details.
02Definitions
Licensor / Company / We / Us / Our: Wepin, Inc., its subsidiaries, products, websites, services, applications, and duly authorized representatives.
User / You / Your / Licensee: Any person, entity, or authorized representative that uses or purchases access to the Services.
Services: The Wepin website, its subdomains, and related tools and features for generating and editing business websites based on publicly available business review and profile data, including but not limited to review-based website generation, editing, hosting, custom domain connection, regeneration, auto-updates, and HTML export, where available under the selected plan.
Output: Any website, page, copy, structure, section, text, summary, layout, or other result generated or provided through the Services.
User Content: Any content, information, text, images, links, branding elements, domain information, business details, or other materials submitted, uploaded, pasted, connected, or otherwise provided by you through the Services.
Third-Party Content: Content originating from third-party platforms or services, including but not limited to Google Maps listings, reviews, business profile information, and links.
03Subscription Plans and License
3a. Free Plan
The Free plan allows you to create one (1) website based on up to fifty (50) Google reviews. Websites created on the Free plan may be hosted on a Wepin domain and may include Wepin branding or badge elements.
3b. Pro Plan
The Pro plan allows you to create up to three (3) websites based on up to one hundred (100) Google reviews each. Pro may include the use of a custom domain, removal of the Wepin badge, regeneration or auto-updating of the website, and HTML export.
3c. Agency Plan
The Agency plan allows you to create up to thirty (30) websites based on up to one thousand (1,000) Google reviews each. Agency includes the features of Pro and may additionally allow agency-branded domain structure, agency badge options, and access to certain waitlist or beta features.
3d. License Grant
Subject to this Agreement and your selected subscription plan, Wepin, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use the Services and the Output for your internal business or commercial website purposes.
You retain your rights in your User Content. Wepin, Inc. retains all rights, title, and interest in and to the Services, including the software, workflows, design systems, prompts, algorithms, and all related intellectual property.
3e. Plan Limits
Your access to specific features depends on the subscription plan you purchase. We may update feature availability, limits, or packaging from time to time. Pricing and feature examples shown on our website are part of the commercial offer, but all use remains subject to this Agreement.
3f. Billing, Renewal, and Cancellation
Paid subscriptions are billed in advance on a recurring basis, either monthly or yearly, depending on the plan selected at checkout.
Unless otherwise stated at the time of purchase, paid subscriptions automatically renew for successive billing periods until canceled.
You may cancel your subscription at any time through your account settings or by contacting us at support@wepin.world. Unless otherwise stated at checkout or required by law, cancellation will take effect at the end of the current billing period.
We may suspend or limit paid features if payment cannot be successfully completed.
04Permitted and Prohibited Use
4a. Permitted Use
You may use Wepin and its Output:
- to generate a website for your business or for a business you are authorized to represent;
- to edit website copy, sections, titles, descriptions, and images within the Service;
- to publish or host the resulting website through Wepin or on a custom domain where your plan permits;
- to export HTML where your plan permits;
- to use the Output for lawful commercial or non-commercial website purposes.
4b. Prohibited Use
You may not use the Services:
- in any criminal, illegal, fraudulent, or otherwise unlawful manner;
- to infringe the intellectual property, privacy, publicity, or other rights of any third party;
- to upload, submit, or connect content you do not have the right to use;
- to misrepresent your identity, authority, business, or relationship to any business listing;
- to scrape, stockpile, reverse engineer, copy, reproduce, resell, sublicense, or build a competing product based on the Services;
- to use the Services in a way that interferes with, disrupts, or damages the Services or other users’ access;
- to generate or publish false, defamatory, deceptive, discriminatory, hateful, or harmful content;
- to create misleading representations of customer sentiment, review history, or business performance;
- to use the Services for spam, phishing, malware distribution, or any abusive automated activity;
- to bypass plan limitations, account limits, or feature restrictions.
4c. Third-Party Platforms
Wepin may rely on third-party platforms or publicly available third-party content, including Google Maps listings and reviews. You are responsible for ensuring that your use of such third-party content is lawful and permitted. You must also comply with any applicable terms imposed by those third parties.
Third-party platforms may change their content, policies, technical availability, access methods, or terms at any time. We are not responsible for interruptions, inaccuracies, missing content, feature limitations, or service changes resulting from third-party platform actions or restrictions.
05License Term and Expiration
This Agreement begins immediately upon your access to or use of the Services and remains in effect for the term of your selected subscription, unless earlier terminated.
Upon expiration or cancellation of a subscription:
- your access to paid features may end immediately or at the end of the current billing period;
- websites, exports, hosted pages, custom domains, or editing access may be limited based on your plan status;
- previously created Output may remain subject to this Agreement.
Wepin, Inc. may suspend or terminate your access if you violate this Agreement or use the Services in a prohibited manner.
06Refund Policy
Wepin, Inc. will not issue refunds except as required by law. All fees are non-refundable, including in the event of premature cancellation of a subscription or failure to cancel in a timely manner.
If you are a consumer in a jurisdiction that grants mandatory cancellation or withdrawal rights for digital services, those rights will apply to the extent required by law. Where permitted by law, if paid Services have already been provided during an applicable withdrawal period, we may retain or charge an amount proportionate to the Services already provided.
If a refund is due, it will be processed using the original method of payment.
07Legal Compliance
You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of the Services.
Wepin, Inc. reserves the right to investigate complaints or reported violations of this Agreement and to take any action it deems appropriate, including suspending or terminating accounts and reporting suspected unlawful activity to appropriate authorities, consistent with our Privacy Policy.
08Your Account
A user account may be accessed and used by one (1) user only, unless a team or agency arrangement expressly permits otherwise.
You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. You agree to provide accurate and current information and to update it when necessary.
Wepin, Inc. reserves the right to refuse service, terminate accounts, or remove content in its sole discretion where necessary to protect the Services, other users, or legal compliance.
09User Content and Third-Party Content
You are solely responsible for the accuracy, legality, reliability, and permissions related to your User Content and any third-party content you provide, connect, or cause Wepin to process.
By using the Services, you grant Wepin, Inc. a limited license to host, process, reproduce, modify, and display your User Content solely as necessary to operate, maintain, improve, and provide the Services to you.
We do not claim ownership of your business content, uploaded content, or branding. However, we do not guarantee the accuracy, completeness, or ongoing availability of third-party content, including reviews, maps data, or listing details.
We reserve the right, but not the obligation, to remove, disable, suspend, or restrict access to any content, website, account, or feature where we reasonably believe it may violate these Terms, applicable law, third-party rights, or third-party platform requirements.
10Intellectual Property
The Services, including software, branding, interface design, workflows, page structures, and all related intellectual property, are owned by Wepin, Inc. or its licensors and are protected by copyright, trademark, and other applicable laws.
Except for the limited rights expressly granted under this Agreement, no rights are transferred to you.
11Disclaimers
The Services are provided on an “as is” and “as available” basis.
Wepin, Inc. does not warrant that:
- the Services will be uninterrupted, error-free, or always available;
- any generated website will achieve any particular marketing, ranking, conversion, or business outcome;
- any review summaries, patterns, or generated copy will be complete, accurate, or suitable for every purpose.
You agree that any feedback provided by Wepin, Inc. regarding your use of the Services or these Terms is for general informational purposes only and is not legal advice.
You are responsible for reviewing and approving any Output before publishing or relying on it. Wepin, Inc. does not guarantee that any Output will be accurate, complete, original, non-infringing, compliant with applicable law, or suitable for your business or industry.
Limitation of Liability
To the maximum extent permitted by law, the total aggregate liability of Wepin, Inc. under this Agreement shall be limited to the amount paid by you for the Services giving rise to the claim.
12Links to Other Websites
Our Services may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third-party websites, and access to them is at your own risk.
13Indemnification
You agree to indemnify, defend, and hold harmless Wepin, Inc., its affiliates, officers, employees, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Services;
- your User Content;
- your violation of this Agreement;
- your violation of any third-party rights or applicable law.
14Governing Law
This Agreement and any claim relating to Wepin, Inc. shall be governed by the laws and statutes of Delaware, United States, excluding the application of conflict of law provisions. You agree to submit to the jurisdiction and venue of such courts.
15General Terms
Assignment. This Agreement is personal to you and is not assignable by you without Wepin, Inc.’s prior written consent. Wepin, Inc. may assign this Agreement, without notice or consent, to any affiliate or successor in interest.
Severability. If one or more provisions of this Agreement is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Waiver. No failure or delay by either party in exercising any right under this Agreement will constitute a waiver of that right.
Taxes. You agree to pay and be responsible for any sales taxes, use taxes, value-added taxes, withholding taxes, and duties imposed by any jurisdiction as a result of your use of the Services.
16Disputes
In the event of a dispute regarding this Agreement, the parties agree first to attempt to resolve the matter in a professional manner.
If the parties are unable to resolve the dispute informally, they agree to attempt mediation in Delaware, U.S.A., before commencing formal proceedings.
17Force Majeure
Neither party shall be responsible for any delay or failure to perform under these Terms if such delay or failure is caused by events beyond its reasonable control, including fire, flood, strike, labor unrest, riot, embargo, accident, acts of God, vandalism, internet outage, government action, or other similar causes.
